Italian company TeamSystem, which specialises in digital solutions for the management of companies and professional offices, has acquired 100% of Spanish software and services firm Aplifisa, as well as the ‘Asesor Excelente’ platform, the company said in a statement.
Aplifisa specialises in the development of software solutions for professionals in the tax and labour sector in Spain and is based in Salamanca.
“It has more than 34 years of experience and its applications enjoy a high prestige, recognised by more than 5,000 clients, including tax consultants, tax advisors, economists, social graduates, human resources managers, labour consultants, property administrators and others,” TeamSystem said.
Different EY teams have advised on the transaction, including M&A/Corporate Finance, Finance, Legal and Tax. The M&A / Corporate Finance team, which acted as financial advisor on the transaction, was led by partner Isabel de Dios, together with team members senior manager Pablo del Junco Pomares, senior Ander Navarro Mira and senior Ana Carbonell.
The team led by partner Remigio Barroso advised on the Financial Due Diligence, together with team members senior manager Rafael Ruiz-Jarabo and manager Miguel Ángel Gómez Caro.
The Legal team, which acted as advisor in the negotiation and closing of the sale and purchase agreement, was led by partner Susana Gómez Badiola, together with team members senior manager José María González de Castejón and senior Jorge Garín. Senior manager Nicolás Chacón and senior Maite Cerezo advised on the Labour aspects of the transaction, while senior Alberto Colomina was involved in the Intellectual Property part. The tax advice was led by director Juan Machuca.
Teamsystem has relied on PwC as financial advisor and Garrigues as legal advisor.
