Uría advises EOS on its sale to Enex Technologies

Uría Menéndez has advised Barcelona-based EOS Refrigeration Equipment on its sale to Italy´s HVACR world leader Enex Technologies

Enex Technologies, a transformative world leader in natural and energy efficient cooling, heating and refrigeration equipment (HVACR) that helps reduce global warming and its impact on climate change, has announced the acquisition of EOS Refrigeration Equipment S.L. Based near Barcelona (Spain) and founded in 2012, EOS is a European technology leader in inox (stainless steel)/aluminum ventilated units (evaporators, condensers, evaporative condensers, dry coolers, adiabatic coolers, cooling towers, etc), and ammonia chillers with an overall focus on ammonia as a natural refrigerant. EOS inox/aluminum ventilated products and ammonia natural refrigerant heat pumps also support energy transition for heating from hydrocarbon energy to clean electric energy.

EOS joins Enex Technologies strong portfolio of HVACR manufacturers Enex, Roen Est and Emicon/Hidros/EthraTech in Italy, Arctic and Kobol in Spain, and Morgana and Samifi in France.

This acquisition demonstrates how we are executing on our plan to acquire eight to ten companies over 2020-2023, on our way to creating a company with over €300 million in revenues,” said Greg Deldicque, chairman of Enex Technologies. “Together with EOS existing team, Enex Technologies aspires to multiply EOS sales five-fold over the next four years. We are going to follow a process similar to the one which allowed us to triple the sales of Enex over the past two years.”

Francisco Vallina, founder and CEO of EOS, has been named president of Enex Technologies Industrial Refrigeration Division, which spans EOS and Samifi France. In his new role, Francisco will benefit from the support of Franck Hamelin (Samifi General Manager and COO for the Division) and of Remy Prunac (Sales Director for the Division).

Enex Technologies targets 2023 sales of over €200 million. It opened a brand new, 7.500 sq meter factory in Treviso in 2022, multiplying by four its manufacturing footprint, and is now building the largest research laboratory in Europe for products using natural refrigerants, for a total investment of over €10 million.

Uría Menéndez advised EOS with a Corporate team comprising partner Eduardo Bagaría and graduate Marc León, a Tax team including partner Carlos Durán, and a Labour team formed by partner Juan Reyes and senior associate Yanira Miguel.
