Uría, Pérez-Llorca, A&M advise on Oakley Capital´s acquisition of vLex

Pérez-Llorca has advised British Private Equity firm Oakley Capital on its acquisition of a majority stake in Spain´s vLex, counselled by Álvarez & Marsal, from Caixa Capital Risc, represented by Uría Menéndez

Oakley Capital, a British private equity firm, has acquired more than 60% of Spain’s vLex. Caixa Capital Risc, CriteriaCaixa’s venture capital manager, has sold the stake that the Caixa Capital Tic I fund held in the legal information search platform.

Oakley Capital announced that Oakley Capital Origin Fund is partnering with the founders of vLex, a cloud-based legal information subscription platform. Founded by brothers Lluis and Angel Faus and headquartered in London, Miami and Barcelona, vLex provides over two million users with access to an online library of global legal and regulatory information including case law, legislation, journals and dockets from over 100 countries. vLex’s scalable and smart data ingestion process, coupled with AI-powered search engine functionality makes research and analysis faster and easier, increasing productivity for users. The Company’s diverse customer base includes law firms, universities and law schools, government agencies and corporates across Europe, Africa, Asia, Oceania, the Caribbean, and the Americas.

Oakley’s partnership with vLex builds on the firm’s significant expertise in supporting digital-first data and information platforms, including TechInsights, the world’s authoritative information services platform for the global semiconductor industry. It is also Oakley’s fourth platform deal in Iberia, following the firm’s investments in property portal idealista, business software provider Grupo Primavera, and advertising technology disruptor Seedtag.

The founders of vLex hold more than 25% of the company’s shares.

Pérez-Llorca advised Oakley Capital with a team comprising Corporate partners Alberto Ibort Franch and Álvaro Ramírez de Haro, IP partner Andy Ramos Gil de la Haza, Finance counsel Isabel Villa, IP lawyers Alejandro Santamaría Rubio and Alicia Maddio Medina, IP associate Andrea Sánchez, Corporate associates Beatriz Sánchez Rodríguez, Francisco José Gómez Apolinario and María Cristina Sainz, Finance associates Gonzalo Ávila and Nicolás Cuchet Prado and lawyer Paz Pardo.

Uría Menéndez advised Caixa Capital Risc (Global) along with private investors with a team formed by Corporate partner Antonio Herrera, Tax partner Carlos Durán Haeussler, Labour counsel Inés Ríos García and junior associates Carmen Peris Coma (Tax), Marina Cantalapiedra (Corporate), Sara Gómez Martínez (Corporate) and Soraya Hernández Huertas (Corporate).

vLex was counselled by Álvarez & Marsal Spain, with a team formed by managing director Ignacio Basagoiti, senior director Rocío Falcones and analyst Inés Bravo.
