RocaJunyent counsels Kompyte on its €10m sale to Semrush

RocaJunyent has counselled Kompyte, competitor tracking software, on its sale to Semrush, a US digital marketing competitive intelligence analytics platform, for approximately €10 million

The acquired company, which operates out of the US, has announced that it will keep the team and will be integrated into Semrush’s products. The product development division is located in Barcelona.

The American company Semrush reveals that it has paid just circa 10 million euros in cash in the transaction to acquire 100% of the shares of a company that was born in Barcelona – although it moved its headquarters to the US – and is owned by Spanish funds Caixa Capital Risc and Adara.

The transaction, announced to the market by the American company a few weeks earlier, was officially signed on 14 March and involves the purchase of all of Kompyte’s assets, including its competitor analytics platform. The consideration is $10 million -9.1 million euros at the current exchange rate- to which must be added just over 200,000 euros in transaction costs, according to the company’s investors.

The M&A team at RocaJunyent’s Barcelona office was led by partner Fede Segura and lawyer Jordi Vilanova.
