PwC, Evergreen steer Opdenergy´s renewal of its €100m Green CP Programme

PwC Tax & Legal has acted as Registered Advisor to Opdenergy Holding, S.A. on its registration of the renewal of a €100 million Green Commercial Paper Programme on MARF, with Evergreen Legal as Legal advisor

The Issuer has structured the Commercial Paper Notes under the name “Commercial Green Paper Programme OPDENERGY 2023” to be issued under the Programme to qualify as a “green finance instrument” in accordance with the “Opdenergy Green Finance Framework” developed by the Issuer in December 2021,under which the Issuer issues bonds and CP notes pursuant to the Green Bond Principles (GBP) and enters into financing agreements pursuant to the Green Loan Principles (GLP), the proceeds of which are intended to finance the working capital of the Issuer and other companies of our Group and contribute to our strategic plan of becoming a relevant independent power producer (IPP) in the market.

The maximum amount of outstanding issuances of Commercial Paper under this Programme will be a nominal of €100 million. Each Commercial Paper will have a nominal value of €100,000), meaning that the maximum number of issuances of Commercial Paper in circulation at any given time will not exceed 1,000.

The entities collaborating in the Program as Placement Entities are Banco Santander, S.A. (which also acted as Paying Agent, Deal Arranger and Green Structuring Agent), Banca March, S.A. and Bestinver S.V., S.A.

Opdenergy launched its first €100M green CP Programmw on MARF on december 2021.

The registration process involved a PwC Tax & Legal team made up of partner Beltrán Gómez de Zayas, senior manager Emilio Aparicio Marina and senior associate Mario Maza Morales.
