Pérez-Llorca, HSF advise o Peninsula Capital´s acquisition of Clínicas Dorsia

Pérez-Llorca has counselled Otsu Group and Dreaming, founding partners’ vehicles, on the sale of WM Clinics (Dorsia) by Capza and Nexxus Iberia, to Peninsula Capital, represented by Herbert Smith Freehills

London-based Peninsula Capital has acquired a majority stake in WM Clinics, the company that owns the Dorsia, Eva and Origen brands specialising in aesthetic medicine, reproductive health, and mental health.

The brothers José Manuel and Jorge Fernández, Dorsia’s founders and owners until now of WM Clinics, will continue to lead the chain and will retain a minority stake in the group.

Until now, the capital of WM Clinics was in the hands of the Fernández brothers through the family holding company, Otsu, which held a 65% stake in the capital. The rest was divided between Capza (21%) and Nexxus Iberia (14%), which are now divesting themselves of their participation through an operation of the secondary buyout.

Pérez-Llorca advised Otsu Group and Dreaming, founding partners’ vehicles, with a Corporate team formed by partner Pedro Fernández, and lawyers Carlos Pérez-Prat and Ignacio Carnero, along with IP & IT partner Andy Ramos.

Herbert Smith Freehills advised Peninsula Capital with a team made up of partners Alberto Frasquet and Armando García-Mendoza, of counsel Marta Esteban, senior associate Marcos Fernández-Rico, associate Carmen Hermosín, and junior associates Alejandro Grima and Ricardo Echevarría.
