Pérez-Llorca, A&R advise on Celli´s acquisition of Exclusivas JJL

Pérez-Llorca has advised Celli Group, a company specialising in the design and manufacture of beverage dispensing systems and accessories, on its acquisition of 70% of the share capital of Exclusivas JJL, represented by Araoz & Rueda


The transaction is the thirteenth purchase in nine years and represents a further strategic step by the Celli Group, with the aim of continuing to expand its presence in the Spanish market, following the creation of Celli España and the purchase in 2022 of 100% of Reyvarsur, a company specialising in the design and manufacture of systems and accessories for beverage dispensing.

Exclusivas JJL is a Spanish family-owned company founded in 1989 in Getafe (Madrid), and is a leader in the design and manufacture of high quality customised columns, trays, taps and branding for the brewing sector. With 35 employees in total, it has two plants, one of 3,300 m2 dedicated to manufacturing and offices, and another of 2,200 m2 for logistics and warehousing, to supply the main beer brands in Spain and Europe. The company expects to have a turnover of €30 million in Spain by 2023, which will become its third largest market after Italy and the UK. On completion of the JLL transaction they will have 80 employees in Spain.

The Vázquez family will remain at the helm of Exclusivas JJL with the role of providing continuity in the management of the company, continuing commercial development and coordinating the implementation of the partnership with the Celli Group.

“Creating value in the Spanish market is a strategic priority for the Group,” said Joost Samyn, CEO of Celli Spain and Wemea Region Director, “and for this reason, after creating Celli Spain for the commercialisation of the wide range of Celli Group beverage dispensing systems, and having acquired Reyvarsur, for the accessories market, we can strengthen the new presence in the Spanish market with Exclusivas JJL, welcoming one of the most important companies in the segment of customised columns”.

Pérez-Llorca advised Grupo Celli with a Corporate M&A team formed by partner Pedro Marques da Gama and lawyers Álvaro Amo and Jaime Antoñanzas, an Antitrust team comprising partner Jaime de Blas and lawyer Jorge Vellido, an Employment team with partner Isabel Moya and lawyer Carlos Zaera, and a Planning and Environment team made up of partner Alberto Ibort and lawyer Clara Carazo.

Grupo Celli was also advised by Giovannelli e Associati, with a team led by partner Fabrizio Scaparro and included senior associate Paola Pagani and associate Filippo Noci.

Araoz & Rueda advised Exclusivas JJL with a team comprising Tax partner José Javier Prieto Ruiz, Competition partner Ainhoa Veiga and Labour partner Clara Mañoso, together with lawyers Luis Trigueros von Korff (M&A), Andrés Máiz (Tax), María Cano Esteban (Labour), Hugo Steunou Zorro (M&A) and Raquel Costoyas Rendo (Competition).
