CLS (CGT Logistica Sistemi) is a company of the Italian group TESYA founded in 1997 and specialised in the sale, rental and maintenance of forklifts, machines and equipment for the Italian logistics industry. In 2019, the company established an innovative division in charge of intralogistics automation, i.e. the implementation of automated systems and comprehensive solutions with high added value to improve material handling processes: CLS iMation.
Alax Automation is a Belgian company founded in 2002 that specialises in turnkey design and after-sales service of automated machines, vision systems, line certification and construction of filling and sealing machines. They are experts in the design, construction and support of customised robotic cells for the chemical and food industry. They offer specialised engineering and installation services and take care of preventive maintenance and monitoring of any automated or robotic machine.
This strategic acquisition for TESYA is the group’s first outside the countries in which it operates. CLS iMation integrates Alax Automation to grow in Belgium and the Netherlands, where it already has several customers. It is the first step in the geographical expansion that CLS iMation has planned for the coming years in the warehouse automation sector.
Mazars M&A team advised CLS iMation on this deal with a team led by M&A head partner Agustín Fernández and M&A senior analyst Victoria Viscarret Sánchez in a cross-border operation coordinated with international teams.
Tesya was advised by Orrick in Italy and Altius in Belgium.
“Despite the complexities of any cross-border transaction, Mazars’ M&A teams in Italy, Belgium and Spain involved in the transaction have managed to achieve an optimal deal that once again demonstrates our firm’s ability to work in a fully integrated manner. We are confident that the integration of Alax Automation will be key to CLS iMation’s ambitious expansion plan.”
