Garrigues advises HOTUSA on €100m CP Programme on MARF

Garrigues has advised Hoteles Turísticos Unidos (HOTUSA) on the renewal of a Commercial Paper (CP) Programme on MARF for €100 million

The company, founded in 1977, has a workforce of 5,000 people, is organised into three business units: hotel services, integrated under the umbrella of the Keytel brand; distribution, which operates as Restel; and hotel operations, Eurostars Hotel Company, which has more than 250 establishments in 17 countries.

All of the company’s divisions have recorded growth during the past year and in the case of Keytel, the hotel services area, López highlighted that, for the tenth consecutive year, it topped the ranking of independent hotel consortiums in the world in 2022, according to the classification carried out by the North American specialised magazine Hotels Magazin.

Dea Hotels, S.L. has a shareholding of approximately 59.24% in the share capital of the issuer, under the effective control of Amancio López Seijas, co-founder of Hotusa Group.

PKF Attest will act as Registered Advisor on this CP Programme. The Collaborating Entities are Banco Sabadell, Banco Santander, Caixabank, JB Capital Markets and PKF Attest Capital Markets. Banco Sabadell will also act as Paying Agent. IBERCLEAR will be the entity responsible for the accounting registration of the Notes.

The maximum outstanding balance of the “Programa de Pagarés HOTUSA 2023” CP Programme is €100 million. Each Note shall have a face value of €100,000, whereby the maximum number of Notes in circulation at any one time shall not exceed €100,000. The term of the CP Programme is one year.
