Cuatrecasas steers Visalia´s €33.9m GBP on MARF

Cuatrecasas has advised Visalia Energía on the registration of its new Green Commercial Paper Program for €33.9 million on BME´s MARF

-

With this program, the company initiates its issuance in the fixed income markets through the MARF in order to diversify its sources of financing and access new investors. The notes included in the program have a nominal amount of €100,000 per unit and a maximum term of two years.

The notes to be issued under the Program will be considered green instruments in accordance with Visalia Energía’s Green Financing Framework 2023 and ICMA’s Green Bond Principles (GBP). The issuer has obtained a second opinion from Serfiex and the proceeds of the issues will be used to finance projects aligned with the GBPs.

Miralta Finance Bank is participating as Lead Manager and Collaborating Entity of the program. GVC Gaesco Valores will be the Registered Advisor in MARF and CaixaBank will be the Paying Agent for the issues.

Visalia Energía has a long-term corporate rating of BB+ with stable trend assigned by EthiFinance Ratings.

Visalia Energía operates in the energy sector, in which it participates as an independent energy, electricity, natural gas and diesel, commercialization group and in the development, construction, operation and maintenance of solar photovoltaic installations for the generation of renewable energy. Grupo Visalia has been operating in the market since 2012 and is the result of the integration of different independent marketers, Watium, Syder Comercializadora Verde, Gas Hogar, and the companies that develop the photovoltaic projects. Visalia has a framework supply agreement with Shell, has several PPAs with producers, such as Engie, Statkraft or SimpleWatt, and in 2022 supplied energy to more than 100,000 customers.

With aggregated figures of its component companies, Visalia Group had a revenue volume of 434 million euros in 2022 and an EBITDA of €32 million.

The Cuatrecasas’ team that provided legal support to Visalia Energía on the process was led by partner Jaime de la Torre, with the support of lawyers Jerónimo Poza and Iván Wesolowski.
