Cuatrecasas, Garrigues advise on AC Capitales´ infrastructure deal with Doble Calzada Oriente in Colombia

Cuatrecasas has advised AC Capitales SAFI S.A. and AC Capitales Infraestructure II GP LLC. on the negotiation and execution of a subscription agreement, shareholders' agreement and EPC contract for the acquisition of a 30% stake in Doble Calzada Oriente S.A.S., a major infrastructure project for Colombia, counselled by Garrigues

Cuatrecasas has advised AC Capitales SAFI S.A. and AC Capitales Infraestructure II GP LLC. on the negotiation and execution of a subscription agreement, shareholders’ agreement and EPC contract in connection with the acquisition of a 30% stake in Doble Calzada Oriente S.A.S., a major infrastructure project for Colombia.

The participation of AC Capitales and its entry as a shareholder of the concessionaire is of vital importance and will provide greater solidity and stability to the project. AC Capitales manages investment funds focused mainly on the infrastructure and real estate sectors. It also invests in private equity companies and projects, with a medium and long term maturity outlook.

Ana María Sánchez, partner in the Infrastructure and Finance practice, comments: “Doble Calzada Oriente is a key infrastructure project for the Aburrá Valley region that will undoubtedly change the face of this region. It is the first of its kind because it is a public-private partnership that will be developed with 100% private capital. Thus, the participation of AC Capitales and its entry as a shareholder of the concessionaire has been essential at different levels: it allowed the concessionaire to partner with a fund of the importance and size of AC Capitales, and for AC Capitales it represents its first investment in Colombia”.

This is a complex operation, involving the structuring and negotiation of a large number of contracts and agreements that served as the basis for consolidating AC Capitales’ participation in the Doble Calzada Oriente concessionaire.
