Clifford Chance has advised the executives of Artá Capital on their acquisition of the stake in the management company owned until then by Corporación Financiera Alba (the investment arm of Banca March). The share capital of the company is now held entirely by its management team, led by Ramón Carné, Nicolás Jiménez-Ugarte, Jaime Alba and Juan Ybáñez. This deal means the transition of Artá Capital to a fully independent company, 100% owned by its management team. Corporación Financiera Alba will continue to be an anchor investor in Arta Capital funds.
In addition, Artá Capital has established and launched Fund III – the first as an independent investment management company –, with a target size of €400 million (reaching €305 million, 75% of the target, in the first closing) and an investment strategy focused on mid-market companies.
Fund III will execute the same strategy as the previous Fund, focusing on investing in family-owned, mid-market companies across Spain and Portugal with resilient business models, strong management teams and growth prospects.
The multidisciplinary team that advised on the transactions was led by partners Javier Amantegui and Ildefonso Alier, working with associates Aina Gómez and María Viñas. They were also supported by counsel Roberto Grau, senior associate Jorge Martín-Fernández and associate Sandra Bazin during the different stages of the process.
