Banco Santander hires Tax manager from BNP Paribas

Banco Santander has signed Miguel Iñiguez Cano, who joins from BNP Paribas, as Tax manager

Previously, Miguel worked for more than 13 years at BBVA, firstly Tax analyst and advisor, later as a Tax responsible, and the last period as the responsible in charge of Corporate and Investment Banking. In that position he has been managing different types of duties;

.- Treasury matters: Advice and review of tax clauses of ISDA’s and CMOF (financial derivatives transactions). Advice and review of securities lending contracts, GMSLA and GMRA, both domestic and international. Advice on syndicated loans in BBVA’s global network, as well as possible tax beneficial structures (back to back, synthetic financing). Support for the international custody department. Advice on structures in the issuance of the different vehicles.

.- Transactional Banking advice: Consultations on the tax implications of the area’s operations, closely related to taxation in an asset or share purchase and sale processes (Project Finance, Corporate Finance, Trade Finance). Support of investment projects on our own account (tax due diligence, monitoring, analysis, and comparison of due diligence processes carried out by external advisors, and planning of a tax-efficient offer and structure for the investment). Advising on restructuring/sales of investee companies. Analysis, cross-checking, and coordination of reports of advisors or parties involved. Planning of a tax-efficient structure to achieve the restructuring/sale objective.

.- Financial management issues: Issuance of GMTN, Preferred, ECP, Certificates of Deposit, Structured Notes, Warrants as well as reviewing the tax part of the prospectuses on a regular basis.

.- Human Resources: Consultations on the Group’s remuneration policies and search for alternatives.

.- Monitoring of international alerts.

.- National and international factoring and confirming operations.

He is a Law and Business administration graduate from the Universidad Carlos III de Madrid and he holds a Master’s degree in Tax and Taxation advice from Centro de Estudios Garrigues, where he also took an advanced Course in International Taxation, Financial and Tax Law.
