The transaction will be paid out of cash for a maximum amount of $18.5 million depending on the targets achieved.

The agreement includes the acquisition of the remaining 30% of the business over the next three years, as well as the continuity of Dennis Scheltema at the head of the company.

This acquisition enables the international expansion of Nacex’s services, a company that belongs to Logista while strengthening Logista’s position in medical and healthcare distribution, expanding its portfolio of services outside the Iberian Peninsula.

The company serves growing sectors and has developed a unique business model based on an asset-light structure and specialising in value-added transport services for the healthcare, high-tech, automotive and e-commerce sectors.

“I am pleased to announce the acquisition of Speedlink, one of Nacex’s long-standing partners with whom we share a similar culture based on service to our customers,” said Íñigo Meirás, Logista CEO. “With this transaction, we are expanding our service portfolio and laying the foundations for Nacex’s international development.”

Baker Mckenzie’s team was led by Madrid office partners Antonio Morales and Juanjo Corral, and Amsterdam partner Mohammed Almarini, along with Amsterdam legal director Florian Fehres, and Amsterdam associate Kasper Henschen.
